End-User License Agreement (EULA)

This End-User License Agreement (“EULA”) is a legal agreement between you and Vibechat Inc. governing your use of the Vibechat mobile application, including messaging, social networking, and newsfeed features (the “Licensed Application”).

The Licensed Application is licensed, not sold, to you, and may only be used in accordance with this EULA. This EULA applies to all updates, upgrades, features, and services unless separate terms are provided.

If you download or use the iOS version of the Licensed Application, you also agree to be bound by Apple’s Standard EULA.

By clicking “Accept,” registering an account, or using the Licensed Application, you confirm that you have read, understood, and agree to be bound by this EULA.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Eligibility and Age Requirements

The Service is intended only for users who are at least 13 years old (or the minimum age required by law in your jurisdiction). By using the Service, you represent and warrant that you meet this age requirement. We do not knowingly collect personal data from children under 13.

License Grant

Vibechat Inc. grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the Licensed Application for your personal, non-commercial use, subject to these Terms.

You agree that you will not:

• Modify, adapt, translate, reverse engineer, decompile, or disassemble any part of the Licensed Application
• Copy, distribute, sell, rent, lease, sublicense, or commercially exploit the Licensed Application
• Allow any third party to access or use your account
• Attempt to bypass security measures or access the Service through automated or unauthorized means
• Use the Service in violation of any applicable laws or regulations
• Use the Service in a way that interferes with or disrupts other users or the platform

User Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account. You agree to provide accurate, current, and complete information and to keep your account information up to date.

User Content

The Service allows users to send private messages and to post content to a public or semi-public newsfeed (“User Content”). Messages sent through the Service are intended to be private between users, while content posted to the newsfeed may be publicly visible depending on your settings.

You retain ownership of your User Content. By submitting User Content, you grant Vibechat Inc. a worldwide, royalty-free, non-exclusive, sublicensable license to host, store, display, reproduce, distribute, and process such content solely for the purpose of operating, improving, and providing the Service.

Content Moderation

Vibechat Inc. does not pre-screen all User Content but reserves the right to review, monitor, remove, or restrict access to any content that violates these Terms, applicable laws, or our community standards.

Intellectual Property

All intellectual property rights in and to the Licensed Application and the Service, including trademarks, copyrights, and proprietary technology, are owned by Vibechat Inc. or its licensors.

Account Deletion and Termination

You may delete your account at any time through the in-app account settings. Upon deletion, your personal data will be deleted or anonymized in accordance with our Privacy Policy.

Vibechat Inc. may suspend or terminate your account or access to the Service at any time, with or without notice, if you violate these Terms or if required by law.

Disclaimer of Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. Vibechat Inc. makes no warranties, express or implied, regarding the reliability, availability, or suitability of the Service.

Limitation of Liability

To the maximum extent permitted by law, Vibechat Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.

Third-Party Platforms

These Terms are between you and Vibechat Inc., not Apple or Google. Apple and Google are not responsible for the Service or its content. Your use of the Service must also comply with applicable third-party platform terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Objectionable Content and Community Standards

You may not create, post, send, or share any User Content that is unlawful, harmful, abusive, harassing, hateful, threatening, defamatory, obscene, sexually explicit, violent, misleading, or otherwise objectionable.

We provide in-app tools to report objectionable content and users. Vibechat Inc. may take appropriate action, including content removal, account suspension, termination, or reporting to authorities.

If you encounter content that violates these standards, please report it through the in-app reporting features or by contacting support@vibechat.app.

Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Service, you consent to our data practices.

Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last Revised” date above. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

If you do not agree to the updated Terms, you must stop using the Service and may delete your account at any time through the app settings.
