End-User License Agreement (EULA) of Vibechat

This End-User License Agreement ("EULA") is a legal agreement between you and Vibechat.

This EULA agreement governs your acquisition and use of our Vibechat Licensed Application (“Licensed Application“) directly from Vibechat.

Please read this EULA agreement carefully before completing the registration process and using the Vibechat Licensed Application. It provides a license to use the Vibechat Licensed Application and contains warranty information and liability disclaimers.

If you register for the Vibechat iOS Licensed Application, you must also agree to terms of Apple’s Standard EULA.

By clicking "accept" or installing and/or using the Vibechat Licensed Application, you are confirming your acceptance of the Licensed Application and agreeing to become bound by the terms of this EULA agreement.

If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not install or use the Licensed Application, and you must not accept this EULA agreement.

This EULA agreement shall apply only to the Licensed Application supplied by Vibechat herewith regardless of whether other softwares is referred to or described herein. The terms also apply to any Vibechat updates, supplements, Internet-based services, and support services for the Licensed Application, unless other terms accompany those items on delivery. If so, those terms apply.

License Grant

Vibechat hereby grants you a personal, non-transferable, non-exclusive license to use the Vibechat Licensed Application on your devices in accordance with the terms of this EULA agreement. You are permitted to load the Vibechat Licensed Application (for example a PC, laptop, mobile or tablet) under your control. You are responsible for ensuring your device meets the minimum requirements of the Vibechat Licensed Application.

You are not permitted to:

• Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Licensed Application nor permit the whole or any part of the Licensed Application to be combined with or become incorporated in any other Licensed Application, nor decompile, disassemble or reverse engineer the Licensed Application or attempt to do any such things
• Reproduce, copy, distribute, resell or otherwise use the Licensed Application for any commercial purpose
• Allow any third party to use the Licensed Application on behalf of or for the benefit of any third party
• Use the Licensed Application in any way which breaches any applicable local, national or international law
• Use the Licensed Application for any purpose that Vibechat considers is a breach of this EULA agreement.

Intellectual Property and Ownership

Vibechat shall at all times retain ownership of the Licensed Application as originally downloaded by you and all subsequent downloads of the Licensed Application by you. The Licensed Application (and the copyright, and other intellectual property rights of whatever nature in the Licensed Application, including any modifications made thereto) are and shall remain the property of Vibechat.

Vibechat reserves the right to grant licenses to use the Licensed Application to third parties.

Termination

This EULA agreement is effective from the date you first use the Licensed Application and shall continue until terminated. You may terminate it at any time upon written notice to Vibechat.

It will also terminate immediately if you fail to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Licensed Application. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.

Governing Law

This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of the United States.

Objectionable Content

You are not permitted to, and agree not to be, create any User Content to the Vibechat Android and iOS App that is or could be interpreted to be objectionable, obscene, offensive, abusive, bullying, defamatory, harassing, harmful, hateful, inaccurate, infringing, pornographic, shocking, threatening, unlawful, violent, vulgar, or in violation of any applicable laws (including laws related to speech). You also agree not to use the Vibechat Android and iOS App for illegal or unlawful purposes. If you encounter any Objectionable Content in the Vibechat Android and iOS App, then please immediately report through the Vibechat Android and iOS App or email us at support@vibechat.app. You acknowledge and agree that Vibechat provides you with the ability to report Objectionable Content as a courtesy. Vibechat may take any actions it deems necessary and/or appropriate against any User who creates Objectionable Content in the Vibechat Android and iOS App, including, but not limited to, warning the User, suspending or terminating the user’s account, removing all of the user’s User Content Created in the Vibechat Android and iOS App, and/or reporting the user to law enforcement or other authorities, either directly or indirectly.

Updating the Terms

We may change or modify our policies and services if we need to make changes that will improve our services. We will notify you by updating this page. If you continue to use our services after any changes in the current Terms, you will be bound by the updated Terms. If you do not want to agree these Terms or updated Terms, you can email us at support@vibechat.app to delete your account and terminate the agreement between Vibechat and you.
